Good governance is the means by which long-term ownership is exercised responsibly. It ensures that decisions taken today remain defensible tomorrow, that authority is matched by accountability, and that the company’s conduct is consistent across time and circumstance.
The principles below are not aspirations. They describe how the company is organised and how it intends to continue to operate.

The company maintains accurate books and records and meets its reporting and filing obligations in full. Its statutory particulars are a matter of public record, and it deals openly with its counterparties and the relevant authorities.
The company observes the laws and regulations applicable to a Luxembourg holding company, including those concerning anti-money-laundering, the prevention of financial crime and the knowledge of those with whom it transacts.
Risk is considered before return. Concentration, liquidity, counterparty and legal risks are identified, weighed and contained, so that the company is never dependent on a single outcome remaining favourable.
Oversight
Decisions are made deliberately, and kept on the record.
Management acts within the powers conferred by the company’s constitutional documents and Luxembourg law. Material decisions are documented, reviewed against the company’s long-term interest, and retained as a permanent record of how and why the company acted.
Particulars of the company’s management are available to counterparties and authorities in the proper course of business.
